How can I assign the person for data input?

A member of the board who is in the register with Estonian personal code can define a perosn entering data. Member of the board should log in to the Company Registration portal, choose "Annual accounts" and then "Defining persons entering data"

Can a procurator assign the person for data input?

No. In the Company Registration Portal the person who enters the data of the annual report may be assigned by the person with the right of representation. The person with the right of representation is a person who has the right to submit the annual report electronically. Pursuant to section 12 sub-section 1 of the regulation of the Minister of Justice “Procedure for production of documents for courts”, access for submitting the annual report electronically is given to the members of the management board, general partner, limited part with the right of representation, branch manager, liquidator or trustee in bankruptcy who is entered in the register as such. The person with the right of representation may also enter the data himself or herself.

Is it possible to add several persons with the right to enter the data for one undertaking?

Yes, several persons with the right to enter the data may be added for one undertaking.

 

How to authorise the person with the right to enter the data to prepare an annual report?

When submitting the annual report through the Company Registration Portal, there is no need to provide authorisation. The person with the right of representation enters the Company Registration Portal with his or her own ID card, smart-ID or mobile-ID and selects from the “Submitting annual reports” menu. Thereafter, he or she can start entering the data or assign a person for data input.

 

The person with the right to enter the data does not see the data of the undertaking for some reason when logging in to the Company Registration Portal. What is the problem?

The person assigned for data input must enter the portal with his or her ID card, smart-ID or mobile-ID. After logging in, you must choose from the “Submitting annual reports” menu and then “Add new report”. Then all the companies for which the person has been assigned for data input for will appear for selection. Clicking on the name of the company, the system will provide the option to begin submission of the annual report.

 

How to assign a person for data input if all of the members of the management board are citizens of a foreign country and they do not have Estonian ID cards or if the members of the management board have been entered in the register with their date of birth and not using an Estonian personal identification code

If all of the members of the management board have been entered in the register with their date of birth and not with an Estonian personal identification code (including foreigners), the accountant may prepare and submit the annual report for them. For this, the accountant must log in to the portal, select “Submitting annual reports”, then “Add new report” and “Can’t find your company? Check here!” After filling in the forms, the management board signs the annual report on paper, then it is scanned and added to the portal as a PDF file.

If at least one of the members of the board is entered in the Commercial Register with a personal identification code, the person with the right of representation may assign a person for data input.

Is it possible to remove/change the person already assigned for data input?

Yes, it is possible to remove the person already assigned for data input from the page “Assigning a person for data input”. After removing the person, it is possible to assign a new person for data input for the undertaking.
