Preparing a Liquidation Application

Please note that a liquidation entry application can only be submitted via the e-Business Register if all involved persons (board members and liquidators) have the ability to digitally sign using an Estonian ID card (including e-resident card), Smart-ID, or Mobile-ID. Otherwise, the application must be submitted through a notary.

The application can be submitted by the legal representative of the legal entity via the e-Business Register.

Steps to Submit the Application

  1. Log in to the portal by clicking the “Login” button in the top right corner.
  2. After logging in, click “My Dashboard”.
  3. On the opened page, click on the business name of the legal entity.
  4. In the entity’s dashboard view, click “Liquidate Legal Entity” on the left side. This will direct you to the liquidation application preparation stage.

Filling Out the Application

  • Contacts: Check and update the contact details of the legal entity if necessary.
  • Persons: Add the liquidator’s data (usually former board members). At least one liquidator must be entered. Click “Add Liquidator”, enter the data, and save.
  • Decision: Enter the date of the decision to liquidate. Click “Add”, select the date from the calendar or enter it manually, and save.
  • Documents: Upload the shareholders’ decision and/or meeting minutes, and any other relevant documents. You may use templates if needed.
  • Confirmation: All board members and liquidators must digitally sign the application. You can send a notification directly from the portal to inform them. Clicking the link in the email will take them directly to the signing stage.

To sign, click “Sign” at the bottom of the page.

Paying the State Fee

Once all required signatures are added, proceed to the state fee payment stage by clicking “Next”.

You can pay the fee via:

  • Bank link
  • Credit card
  • Outside the portal (manual payment)

By default, the application is automatically submitted once the payment is received. You can disable this option and submit manually if preferred.

For manual payment, click “Pay via bank or internet banking” to view payment details and your unique reference number.

⚠️ Note: Manual payments may take time to reflect in the portal. If the payment confirmation does not appear within a few days, contact customer support at info@rik.ee with payment details and a copy of the payment order.

If you opted for manual submission, after payment click “Next” and then “Submit Application”.

The application will be reviewed within five working days.
