A legal or natural person can reserve a business name for six months. A person can have one business name reservation at a time. A person cannot book the same business name a second time. When reserving a business name, you must choose the legal form and field of activity for which the business name will be used. The reserved business name can only be used in the selected legal form and field of activity. For a good reason, the reservation can be extended once for three months no later than 5 working days before the end of validity. The state fee for reservation is 150€.
Detailed instructions:
To reserve a business name, you must first log in to the portal with an Estonian ID card, Smart-ID or mobile ID. Next, select "My Dashboard" from the top menu.
To reserve a name as a legal person, click on the name of the corresponding legal entity on the opened page. In the "Reserve a company name" section of the page that opens, press the "Reserve business name" button.
To reserve a name as a natural person, click the "Additional actions" link in the left menu of the opened page and then the "Reserve a company name" button.
First, you have to choose which legal form of legal entity the name will be reserved for by making the appropriate selection from the drop-down menu and save the selection. A reserved business name can only be used for the legal form for which the business name is reserved.
Next, you have to choose the main field of activity in which the legal entity operates. Only one activity can be the main activity. Determining the main field of activity does not mean that a legal entity may not also operate in other fields of activity. When reporting the field of activity to the register, the classification of fields of activity in the Estonian economy is used. The reserved business name can be used later only by a legal entity operating in this field of activity.
Then select the desired name and form. When choosing a name, it must be observed that the business name of the company must be clearly distinguishable from other business names of registered and reserved companies.
The business name may not contain another person's trademark protected in Estonia without the notarized or digitally signed consent of the trademark owner. Consent is not required if the entrepreneur operates in an area where the trademark is not protected. The business name must not be misleading regarding the legal form of the entrepreneur, the field of activity or the scope of the activity. The name must not conflict with good manners.
Regarding the documents, there is no obligation to add additional documents. If necessary, for example, the consent of the trademark owner to use the name protected by the trademark can be added as an additional document.
When reserving a name as a natural person, you must also add an e-mail address to which the necessary documents and information can be sent.
Next, the application must be signed, a state fee of 150 euros must be paid and the application must be submitted to the registrar.
To adopt the reserved business name, you must submit an application for registration or change, where you can choose the desired name. The application must be signed (or a document of consent must be attached) by the person who reserved the name (in the case of a legal entity, a person entitled to represent). The application must be submitted no later than 5 working days before the reservation expires.
If desired, the business name reservation can be extended once for three months for a valid reason. For this purpose, an application for extending the business name reservation must be submitted in the e-business register no later than 5 working days before the initial reservation expires. If you wish, you can also cancel the reservation. To do either of this, enter the e-business register and press the "My desktop" button
To extend or cancel the name reservation as a legal entity, enter the e-business register and press the "My dashboard" button, click on the name of the corresponding legal entity on the opened page. In the "Business name reservation" section of the page that opens, press the "Extend reservation" or "Cancel reservation" button.
To reserve or cancel a name as a natural person, enter the e-business register and press the "My dashboard" button, click the "Additional actions" link in the left menu of the "opened page" and the "Extend reservation" or "Cancel reservation" button on the page that opens.
